Paid platform subscriptions, security exhibits, data processing terms, business associate terms, service-level terms, statements of work, and customer-specific obligations are governed by the applicable written agreement between AutoCounsel Inc. and the customer.
Technology Provider Only
AutoCounsel provides agentic AI automation software for law firms. AutoCounsel is not a law firm, does not practice law, does not provide legal advice, does not establish attorney-client relationships with a firm’s clients, and does not replace attorney judgment. Website content, demos, generated materials, workflow examples, product descriptions, and AI outputs are for informational, operational, and workflow-support purposes only.
Customer Responsibility And Professional Duties
Customers and their authorized users are solely responsible for determining whether and how to use AutoCounsel in their legal practice, including compliance with professional responsibility rules, client consent requirements, confidentiality obligations, supervision duties, advertising rules, record retention obligations, court rules, and all applicable laws. Customers are responsible for configuring workflows, reviewing outputs, approving client-facing communications, and ensuring that licensed professionals make all legal judgments.
AI Outputs And Automation
AutoCounsel may use AI systems and automated workflows to answer calls, collect intake information, summarize communications, extract data, draft materials, route tasks, update systems, trigger follow-ups, or support other firm-configured processes. AI outputs and automated actions may be incomplete, inaccurate, delayed, biased, or unsuitable for a specific matter. Customers must implement appropriate human review, approval gates, monitoring, testing, and escalation procedures before relying on any AI output or automated action.
No Guaranteed Outcomes
AutoCounsel does not guarantee case acceptance, lead conversion, client retention, legal outcomes, statute of limitations determinations, regulatory compliance, revenue improvement, operational savings, or any specific business result. Any metrics, examples, statements, screenshots, or demonstrations are illustrative only and may depend on customer configuration, data quality, practice area, call volume, integrations, staffing, and review procedures.
Acceptable Use
You may not misuse the website or platform, interfere with operation or security, attempt unauthorized access, reverse engineer non-public technology, scrape or harvest data, submit unlawful or infringing material, use AutoCounsel to provide unauthorized legal services, impersonate others, misrepresent AutoCounsel, overload systems, introduce malware, or use the services in a way that violates applicable law or third-party rights.
Customer Data And Inputs
Customers are responsible for the accuracy, legality, quality, and authorization of data, prompts, instructions, documents, recordings, call content, client information, matter information, and workflow configurations submitted to or processed by AutoCounsel. Customers should not submit information unless they have the right to do so and have provided any notices or obtained any consents required by law, contract, or professional rules.
Third-Party Services And Integrations
The website and platform may reference or integrate with third-party services such as email providers, CRM systems, telephony providers, cloud infrastructure, AI model providers, analytics tools, payment processors, e-signature providers, and document systems. Those services are governed by their own terms and policies. AutoCounsel is not responsible for third-party services, outages, data handling, model behavior, or changes outside AutoCounsel’s control.
Intellectual Property
AutoCounsel names, logos, product concepts, software, workflows, website content, designs, documentation, demos, and materials are owned by AutoCounsel Inc. or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms or a written agreement. Feedback, suggestions, or ideas submitted to AutoCounsel may be used without restriction or obligation to you.
Confidentiality And Security
AutoCounsel uses administrative, technical, and organizational safeguards designed to protect systems and data, but no website, AI system, integration, or transmission method is completely secure. Customers are responsible for managing user access, permissions, endpoint security, credential protection, internal policies, and review of activity within their own environments. Security or compliance materials may be subject to separate written terms, nondisclosure obligations, and verification procedures.
Disclaimers
The website, public materials, demos, and trial experiences are provided on an as-is and as-available basis. To the maximum extent permitted by law, AutoCounsel disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free performance, accuracy, reliability, and suitability for any legal, business, or compliance outcome.
Limitation Of Liability
To the maximum extent permitted by law, AutoCounsel Inc. and its officers, directors, employees, contractors, affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost revenue, lost business, loss of goodwill, data loss, workflow interruption, reputational harm, legal malpractice claims, or third-party claims arising from use of or reliance on the website, public materials, demos, AI outputs, or automated workflows.
Indemnity
You agree to defend, indemnify, and hold harmless AutoCounsel Inc. and its officers, directors, employees, contractors, affiliates, suppliers, and licensors from claims, damages, liabilities, losses, costs, and expenses arising from your use of the website or platform, your data or instructions, your workflow configurations, your violation of these Terms, your violation of law or professional obligations, or your infringement of third-party rights.
